This Affiliate Agreement ("Agreement") is entered into between IonThrive ("Company") and the undersigned ("Affiliate") for participation in the IonThrive Premium Affiliate Program.

1. Eligibility

• Affiliate qualifies for premium affiliate status upon purchasing at least one IonThrive Hydrogen Water Machine at retail price ($3,600 USD).
• Affiliate receives a unique distributor ID and affiliate tracking system access.

2. Commission Structure

• Affiliate earns 10% commission on the gross sales price of each IonThrive machine sold directly through their affiliate link or referral.
• Example: On a $3,600 sale, Affiliate earns $360 commission.
• Commissions are paid monthly via ACH or mailed check within 15 business days after the close of each month.

3. Affiliate Support & Tools

To ensure success, the Company will provide:✅ Personalized affiliate dashboard to track referrals and commissions✅ Marketing materials (digital assets, videos, flyers)✅ Affiliate-specific promo codes or discounts (if offered)✅ Dedicated account manager or support contact✅ Optional access to IonThrive webinars and training

4. Affiliate Responsibilities

• Promote IonThrive products with accuracy and integrity.
• Follow Company’s brand guidelines when using logos, content, or promotional materials.
• Clearly disclose affiliate relationship in compliance with FTC and applicable local regulations.
• Avoid misleading claims or unapproved product guarantees.

5. Commission Payment Terms

• Commission is paid only on confirmed, fully paid customer purchases.
• Returns or chargebacks will result in commission reversals.
• No minimum sales quota required to remain an affiliate, but inactive accounts (12 months of no sales) may be deactivated.

• This Agreement is effective upon signing and remains active until terminated by either party with 30 days’ written notice.
• Company reserves the right to suspend or terminate affiliate status for violations of this Agreement.

8. Liability & Relationship

• Affiliate is an independent contractor, not an employee, partner, or franchisee.
• Company is not responsible for affiliate’s tax obligations or legal compliance outside this Agreement.
• Affiliate agrees to indemnify Company against claims arising from affiliate’s own promotional activities.

9. Confidentiality

• Affiliate agrees to keep all non-public program details (commission rates, customer data, internal processes) confidential and not share with third parties.
